Terms of Service

These Terms of Service ("Terms") govern your access to and use of the paid services ("Services") offered by Stellar, Inc. ("Stellar"), a wholly owned subsidiary of mWater Foundation, Inc., a 501(c)(3) nonprofit organization. By purchasing or using the Services, you agree to these Terms.

1. About Stellar, Inc.

Stellar, Inc. provides advanced data solutions, technical assistance, and professional services on a commercial basis, including dedicated support for organizations using the mWater platform. Profits support the continued development and free availability of the mWater platform. The core mWater platform, including data collection, analysis, visualization, and sharing, remains free and is governed separately. These Terms apply only to Stellar's paid Services.

2. The Services

2.1 Support Membership. A premium support and capability package including: priority responses to complex support requests (restoring deleted data, shapefile and asset imports, platform integrations, workflow design, calculations and indicator support, advanced query and dashboard design); 10 complex technical assistance tasks per year; a dedicated Slack channel with the Stellar/mWater team; 100× table data import limits (up to 1,000,000 rows per table); bulk data operations (e.g., updating up to 1,000 sites at once); and priority beta access to new features. Pricing: $500/month, or $5,500/year (one month free).

2.2 API Data Tier. Access to the full mWater data API (all endpoints, read and write). Usage is measured in rows stored in the subscriber's mWater organization. Full read and write API access for the first 10,000 stored rows is free for every organization. The paid tier supports up to 1,000,000 stored rows total. Direct API endpoints are rate-limited to one request per hour per endpoint; continuous or high-frequency data (e.g., sensor and SCADA feeds) is ingested through the AI integrator, which batches writes and is not bound by that limit. If a subscription ends, stored rows above the free threshold are retained on a read-only basis and are not deleted. Pricing: $500/month, or $5,500/year (one month free), for up to 1,000,000 stored rows.

2.3 Professional Services. Custom engagements, including app configuration, branded data portals, and expert consulting, are scoped and priced individually under a statement of work.

3. Eligibility and Account Access

3.1 Organizational accounts. The Services are sold to organizations, not individuals. The person completing the purchase must have authority to bind the organization to these Terms.

3.2 Access method. Services are accessed through your organization's existing mWater account at portal.mwater.co. Activation is handled by Stellar staff following confirmation of payment; you will receive a confirmation email when your subscription is active.

3.3 Subsidized access. Verified government and public-sector organizations in countries on the United Nations Least Developed Countries (LDC) list may be eligible for subsidized or free access. To apply, contact support@stellardata.co.

4. Payment and Billing

4.1 Payment processor. Payments are processed by Paddle.com Market Limited ("Paddle"), which acts as Merchant of Record for all transactions. By completing a purchase, you also agree to Paddle's terms of service.

4.2 Subscriptions. Services are sold as monthly or annual subscriptions that renew automatically unless cancelled before the renewal date.

4.3 Pricing. Prices are listed in USD. Taxes may be added at checkout depending on your jurisdiction and are collected and remitted by Paddle.

4.4 Cancellation. You may cancel at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. After a paid subscription ends, stored data above the free threshold remains accessible on a read-only basis; elevated limits stop applying to new data until you resubscribe.

5. Refunds

Refunds are governed by the Refund Policy below. New subscribers may request a full refund within 14 days of initial payment. Subscriptions are otherwise non-refundable except in cases of billing error or where required by applicable law.

6. Acceptable Use

You agree to use the Services only for lawful purposes. You may not: resell or sublicense access without written permission; use the Services to store or process data in violation of applicable law; attempt to circumvent usage limits or access controls; or interfere with or disrupt the Services or underlying servers.

7. Data and Privacy

Your use of the Services is subject to the Privacy Policy below and the mWater AI Policy. Data you submit remains your property. Stellar processes your data only as necessary to deliver the Services.

8. Intellectual Property

The mWater platform, Stellar's services, and all associated software, documentation, and content are the intellectual property of mWater Foundation, Inc. and Stellar, Inc. These Terms do not grant you any ownership rights. You retain ownership of all data you submit.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available." Stellar makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.

10. Limitation of Liability

To the maximum extent permitted by law, Stellar's total liability for any claim arising from the Services shall not exceed the fees you paid to Stellar in the three months preceding the claim. In no event shall Stellar be liable for indirect, incidental, consequential, or punitive damages.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-law provisions. Any dispute that cannot be resolved through good-faith negotiation shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

12. Changes to These Terms

Stellar may update these Terms from time to time. We will notify you of material changes by email or through the platform. Continued use after the effective date constitutes acceptance.

This Privacy Policy describes how Stellar, Inc. ("Stellar") collects, uses, and protects information when you use our paid services ("Services"). Use of the core mWater platform is governed separately at mwater.co/privacy.

1. Who We Are

2. Information We Collect

2.1 Account and billing information (via Paddle): organization name and contact information; billing address; payment method details (processed and stored by Paddle; Stellar does not store raw payment card data); email address of the account administrator.

2.2 Usage data: API call logs (timestamps, endpoints accessed, row counts); support requests and communications; feature usage and session data.

2.3 Data you submit: operational data, survey data, sensor readings, and other content. This data is yours (see Section 5).

2.4 AI feature data: when you use AI-powered features, relevant portions of your data may be transmitted to our AI Service Providers, governed by the mWater AI Policy. AI Service Providers do not use your data to train their models.

3. How We Use Your Information

To deliver and maintain the Services; process billing via Paddle; respond to support requests; send transactional communications; monitor usage for compliance with limits and Terms; improve the Services and troubleshoot; and comply with legal obligations. We do not sell your personal data.

4. Legal Bases for Processing (GDPR)

For EEA/UK users: contract performance; legitimate interests (usage monitoring, fraud prevention, service improvement); legal obligation; and consent (for optional communications).

5. Submitted Data

All data you submit remains your property. Stellar processes it only to deliver, secure, and maintain the Services, and does not sell, share for others' purposes, or commercialize it. Limited, need-to-know processing to operate, troubleshoot, and improve the reliability of the Services is part of delivering them; we do not mine your submitted content for unrelated purposes.

6. Data Sharing

We share data only with: Paddle (payment processor and Merchant of Record); AI Service Providers (under agreements prohibiting use of your data for model training); mWater Foundation, Inc. (aggregated usage and billing data for financial reporting and governance); legal requirements (law, court order, regulator); and business transfers (merger, acquisition, or asset sale, with notice to you).

7. Data Retention

  • Billing records: 7 years (accounting/tax obligations)
  • Account data: duration of subscription plus 2 years after termination
  • Usage logs: 12 months
  • Support communications: 3 years
  • AI interaction logs: retained to operate, secure, and improve the reliability of the Services; not used to train AI Service Providers' models or commercialized; deleted or anonymized upon a valid deletion request

8. Your Rights

Depending on jurisdiction: access, correction, deletion (subject to retention obligations), restriction/objection, portability, and withdrawal of consent. Contact support@stellardata.co; we respond within 30 days. EEA/UK residents may also lodge a complaint with their local data protection authority.

9. Security

Encrypted data transmission (TLS), need-to-know access controls, and regular security reviews. We will notify you of any data breach affecting your personal data as required by law.

10. International Data Transfers

Stellar operates from the United States. For users outside the US, data may be transferred there. For EEA users, transfers are made pursuant to the European Commission's Standard Contractual Clauses (2021 modules). For UK users, transfers are made pursuant to the UK International Data Transfer Addendum to those SCCs, as issued by the UK Information Commissioner's Office.

11. Minors

The Services are not directed at individuals under 18, and we do not knowingly collect their personal data.

12. Changes to This Policy

Material changes will be communicated by email or in-platform notice; continued use after the effective date constitutes acceptance.

Refund Policy

This Refund Policy applies to subscriptions and purchases made through Stellar, Inc. All payments are processed by Paddle.com Market Limited ("Paddle"), which acts as Merchant of Record. Refund requests are handled by Paddle in accordance with this policy.

1. 14-Day Refund Window for New Subscriptions

New subscribers may request a full refund within 14 days of their initial payment. Contact support@stellardata.co within 14 days of the charge date. No reason is required.

2. Subscription Renewals

Subscriptions renew automatically; you'll receive an email reminder before each renewal. Refunds are not issued for renewals already processed, except as described in Section 3. To avoid a renewal charge, cancel before the renewal date.

3. Eligible Refunds Outside the 14-Day Window

  • Billing error: you were charged an incorrect amount, or charged after cancelling
  • Service unavailability: the Services were materially unavailable for more than 72 consecutive hours of unplanned downtime during a billing period
  • Duplicate charges: you were charged more than once for the same subscription period
  • Consumer law requirements: where applicable law requires a refund right, such as EU cooling-off periods

4. How to Request a Refund

Contact support@stellardata.co with: the email associated with your account; your organization name; the date and amount of the charge; and a brief reason. We respond within five business days. Approved refunds are processed by Paddle and typically appear within five to ten business days.

5. Cancellations

Cancelling does not entitle you to a refund for the current billing period. You retain access to paid features until the end of the period already paid for.

6. Annual Subscriptions

Annual plans are priced at roughly one month free (about 8% off the monthly rate). Partial refunds on unused months are considered case by case. Contact support@stellardata.co.
